These Terms of Use (“Terms”) govern your access to and use of the website operated by the Association of PAs in Psychiatry (“APAP,” “we,” “us,” or “our”) at PsychPA.com and any related online services (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.


1. Who We Are

The Association of PAs in Psychiatry is a professional association that supports physician associates/assistants (PAs) practicing in psychiatry and behavioral health through education, community, and advocacy. The Site is intended for informational, educational, and professional networking purposes and is not a substitute for medical, legal, or financial advice.


2. Eligibility and User Responsibilities

By using the Site, you represent that:

  • You are at least 18 years old (or the age of majority in your jurisdiction).

  • You have the authority to agree to these Terms.

  • You will comply with these Terms and all applicable laws and regulations.

You are responsible for:

  • Ensuring that any information you provide to APAP is accurate and up to date.

  • Maintaining the confidentiality of any account credentials and restricting access to your devices.

  • Notifying us promptly of any unauthorized use of your account or the Site.


Content on the Site—including articles, links, educational materials, and resources—is for general informational and professional development purposes only.

  • It does not constitute medical, psychiatric, psychological, legal, financial, or other professional advice.

  • It is not intended to create a clinician–patient relationship.

  • You should not rely on the Site as a substitute for individualized professional judgment or local standards, regulations, or laws.

Clinicians should use their own independent clinical judgment and follow applicable law, licensing rules, and institutional policies when caring for patients.


4. Accounts, Membership, and Passwords

Certain areas or features of the Site may require registration or membership.

  • You agree to provide accurate, current, and complete information during registration and to update it as needed.

  • You are responsible for all activity that occurs under your account.

  • APAP may suspend or terminate accounts that are inactive, inaccurate, or in violation of these Terms.

Membership in APAP is subject to APAP’s membership policies, dues, and any additional terms provided at sign-up or renewal.


5. Acceptable Use

You agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable law.

  • Upload, post, or transmit any content that is defamatory, harassing, discriminatory, obscene, or otherwise objectionable.

  • Upload or transmit any content that infringes or violates another party’s intellectual property, privacy, or other rights.

  • Attempt to gain unauthorized access to any portion of the Site, accounts, systems, or networks.

  • Introduce viruses, malware, or other harmful code or interfere with the Site’s operation.

  • Use the Site to send spam, chain letters, or unsolicited messages.

  • Scrape, harvest, or use any automated means (e.g., bots, crawlers) to access the Site except where clearly permitted (e.g., search engine indexing).

APAP reserves the right—but has no obligation—to monitor use of the Site and remove or restrict access to any content or user that violates these Terms or appears harmful to APAP, its members, or others.


6. Intellectual Property

6.1 APAP Content

Unless otherwise noted, all content on the Site—including text, graphics, logos, icons, images, audio/video, and the overall Site design and layout—is owned by APAP or used with permission and is protected by copyright, trademark, and other laws.

You may:

  • View, download, or print content for your personal, noncommercial, professional use, provided you do not remove any copyright or proprietary notices and do not modify the content.

You may not:

  • Copy, reproduce, distribute, publicly display, modify, create derivative works of, or otherwise use Site content for commercial or public purposes without APAP’s prior written consent.

6.2 Trademarks

APAP names, logos, and related marks are trademarks or service marks of APAP. Other names and logos on the Site may be trademarks of their respective owners. You may not use any APAP or third-party trademark without the prior written permission of the owner.


7. User-Submitted Content

If the Site allows you to post or submit content (for example, comments, profiles, messages, or uploads):

  • You retain ownership of your content, but you grant APAP a nonexclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, distribute, and otherwise act with respect to your content in connection with operating and improving the Site and APAP’s activities.

  • You represent and warrant that you have all necessary rights to submit the content and grant this license, and that your content does not infringe any third-party rights or violate any law.

APAP may remove or edit user-submitted content at its discretion, including for violating these Terms or if we believe it is harmful, inaccurate, or inappropriate.


The Site may include links to third-party websites, resources, or services (for example, CME providers, educational institutions, advocacy organizations, government agencies, or vendors).

  • APAP does not control and is not responsible for the content, privacy practices, or services of those third parties.

  • Links are provided for convenience and informational purposes and do not imply endorsement or affiliation unless explicitly stated.

You use third-party sites and resources at your own risk and should review their terms and privacy policies.


9. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. The Privacy Policy is incorporated into these Terms by reference.

10. No Guarantee of Availability or Accuracy

While we strive to keep the Site available and content accurate:

  • We do not guarantee that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

  • We do not warrant that information on the Site is complete, current, or suitable for every use or jurisdiction.

You use the Site and rely on its content at your own risk.


11. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • THE SITE AND ALL CONTENT, INFORMATION, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

  • APAP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

  • APAP DOES NOT WARRANT THAT THE SITE OR ANY CONTENT WILL BE ACCURATE, RELIABLE, TIMELY, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Some jurisdictions do not allow certain warranty limitations, so some of the above may not apply to you.


12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • APAP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  • APAP’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED, IN THE AGGREGATE, THE GREATER OF (A) THE AMOUNT YOU PAID TO APAP (IF ANY) FOR THE SPECIFIC SERVICE OR EVENT GIVING RISE TO THE CLAIM DURING THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.


13. Indemnification

You agree to indemnify, defend, and hold harmless APAP and its officers, directors, employees, volunteers, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of or access to the Site.

  • Your violation of these Terms or any applicable law.

  • Your infringement or violation of any third-party right, including intellectual property or privacy rights.

APAP reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate in that defense.


14. Changes to the Site or These Terms

We may:

  • Modify, suspend, or discontinue any part of the Site at any time, with or without notice.

  • Update these Terms periodically to reflect changes in our practices, technology, or legal requirements.

When we update the Terms, we will revise the “Effective Date” at the top. If we make material changes, we may provide additional notice (e.g., posting a notice on the Site).

Your continued use of the Site after changes become effective means you accept the updated Terms.


15. Termination

We may suspend or terminate your access to the Site, in whole or in part, at any time and for any or no reason, including if we believe you have violated these Terms or engaged in harmful behavior.

Upon termination:

  • Your right to use the Site will cease immediately.

  • Provisions that by their nature should survive (such as ownership, disclaimers, limitations of liability, and indemnification) will continue to apply.

You may stop using the Site at any time.


16. Governing Law and Dispute Resolution

These Terms and your use of the Site are governed by the laws of the State of [Insert State], without regard to its conflict-of-laws principles, and applicable U.S. federal law.

Any dispute arising out of or relating to these Terms or the Site will be resolved:

  • First, through good-faith informal discussions between you and APAP; and

17. International Users

The Site is controlled and operated from the United States and is primarily intended for U.S. users, particularly PAs and PA students practicing or training in the U.S. If you access the Site from outside the U.S., you are responsible for complying with all local laws and regulations that apply to you.


18. Entire Agreement and Severability

These Terms, together with our Privacy Policy and any additional terms provided for specific features or events, constitute the entire agreement between you and APAP regarding the Site and supersede any prior agreements regarding the Site.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
